PUBLIC OFFER FOR THE REMOTE SALE OF GOODS

1. TERMS AND DEFINITIONS

1.1. Offer – this document published on the Internet at:

1.2. Website – the Seller’s information resource on the Internet at:
http://nrshopindia.com/.

1.3. Seller, Operator – Space Nail Cosmetic India Pvt Ltd (Formally known as NAIL REPUBLIC).

1.4. Buyer – an individual who has accepted (acceded to) this Offer under the conditions set forth below and has provided the Seller with their personal data, which may be used by the Company for the purposes specified in this Agreement.

1.5. Goods – goods and services of the Seller presented on the Website.

1.6. Acceptance of Goods – receipt by the Buyer of the ordered Goods.

1.7. Order – a request for the purchase and delivery of Goods selected by the Buyer on the Website, submitted to the Seller via the Seller’s Website on the Internet, or placed by the Buyer by phone as indicated on the Seller’s Website.

1.8. Courier Service – an organization providing delivery services for the Goods ordered by the Buyer.

1.9. Personal Data – information relating to a specific Buyer as specified in Section 5 of this Offer.

1.10. Processing of Personal Data – any action (operation) or set of actions (operations) performed with or without the use of automation tools with personal data, including collection, recording, systematization, accumulation, storage, clarification (updating, modification), extraction, use, transfer (distribution, provision, access), anonymization, blocking, deletion, and destruction of personal data.

1.11. Cookies – data fragments sent by the web server to the browser when the Buyer visits the Website.

1.12. Acceptance of the Offer – full and unconditional acceptance of the Offer by performing the actions specified in Section 8 of the Offer. Acceptance of the Offer constitutes the conclusion of the Agreement.

2. GENERAL PROVISIONS

2.1. This document constitutes a public offer addressed to individuals.

2.2. The Seller’s/Operator’s offer to sell goods via the Seller’s Website constitutes a public offer.

2.3. By accepting the conditions set forth below, an individual undertakes to pay for the Goods under the terms specified in this Offer.

2.4. The Seller and the Buyer warrant that they possess the necessary legal capacity and authority, as well as all rights and powers necessary and sufficient to conclude and perform this Agreement.

2.5. By ordering Goods through the Seller’s Website, the Buyer unconditionally accepts the terms of this Offer and consents to the processing of their personal data.

2.6. An Order placed by the Buyer on the Website constitutes confirmation of the Agreement concluded between the Seller and the Buyer.

3. SUBJECT OF THE AGREEMENT

3.1. The Seller sells and transfers the Goods at the prices indicated on the Seller’s Website, and the Buyer pays for and accepts the Goods in accordance with the terms of this Offer.

3.2. Ownership of the Goods passes to the Buyer at the moment the Buyer accepts the Goods and pays the full cost of the accepted Goods.

3.3. The risk of accidental loss or damage to the Goods passes to the Buyer from the moment the Goods are accepted by the Buyer.

4. PURPOSES OF PROVIDING PERSONAL DATA

4.1. The Buyer provides their personal data for the purposes of:

4.1.1. creating an account on the Website;

4.1.2. placing orders on the Website;

4.1.3. receiving notifications on the status of orders;

4.1.4. making payments;

4.1.5. receiving technical support related to the use of the Website;

4.1.6. receiving information about products, services, promotional campaigns, and events of the Seller;

4.1.7. participating in promotional campaigns and surveys of the Seller;

4.1.8. using services available on the Website;

4.1.9. publishing personalized comments and reviews about goods and services on the Seller’s Website;

4.1.10. other purposes at the Seller’s discretion necessary to achieve the Seller’s objectives, sell goods and services, and increase brand (service mark) recognition.

4.2. The data provided by the Buyer may be used for the promotion of goods and services on behalf of the Seller or the Seller’s partners.

4.3. The Buyer’s personal data is collected, stored, processed, used, transferred, and deleted (destroyed) in accordance with applicable law and this Offer.

5. INFORMATION SUBJECT TO PROCESSING

5.1. The Buyer’s personal data permitted for processing under this Agreement is provided by the Buyer by completing the registration form on the Seller’s Website and includes:

5.1.1. full name of the Buyer;

5.1.2. contact phone number;

5.1.3. email address;

5.1.4. delivery address;

5.1.5. order history.

5.2. During automated data processing from the Website, the Seller also obtains access to:

5.2.1. the Buyer’s IP address;

5.2.2. Cookies;

5.2.3. date and time of visiting the Website;

5.2.4. address of the previous page;

5.2.5. information about the software used to access the Website.

6. PROCESSING AND USE OF PERSONAL DATA

6.1. Processing of the Buyer’s personal data is carried out:

6.1.1. without time limitation;

6.1.2. by any lawful means, including but not limited to automated processing.

6.2. By accepting this Offer, the Buyer grants the Seller indefinite consent to process the personal data specified in Section 5 by all of the above methods, including transferring such data to the Seller’s contractors for the purpose of fulfilling obligations and/or selling the Seller’s goods.

6.3. Transfer of information to the Seller’s contractors (postal organizations, courier services, etc.) is carried out:

6.3.1. to fulfill the Buyer’s Order;

6.3.2. to enable informing the Buyer about products, services, promotional campaigns, and events of the Seller.

6.4. The Seller’s contractors undertake to use the Buyer’s data in accordance with the legislation of India.

7. RIGHTS AND OBLIGATIONS OF THE BUYER. CONFIDENTIALITY

7.1. The Buyer undertakes not to disclose to third parties:

7.1.1. login and password used for authorization on the Seller’s Website;

7.1.2. order number on the Seller’s Website.

7.2. The Buyer undertakes to exercise due care in storing and entering the login and password.

7.3. The Buyer has the right to change their personal data and to request deletion of personal data from the Seller (except for data necessary for the Seller to fulfill its obligations).

7.4. The Seller takes all necessary technical and other measures to protect the confidentiality of the Buyer’s personal data.

8. ACCEPTANCE OF THE OFFER AND CONCLUSION OF THE AGREEMENT

8.1. By accepting this Offer, the Buyer performs conclusive actions expressing their will and consent to the processing of personal data specified in Section 5 of this Agreement and to the purchase of Goods under the terms of this Offer.

8.2. The Buyer’s consent to the processing of personal data is equivalent to handwritten written consent.

8.3. The Buyer accepts the Offer, which is equivalent to concluding a retail sale agreement, by expressing consent in any of the following ways:

8.3.1. clicking the virtual “Place Order” button on the Seller’s Website;

8.3.2. final confirmation of the Order by the Buyer.

9. TERMS OF REGISTRATION AND USE OF THE WEBSITE

9.1. By accepting this Offer, the Buyer unconditionally agrees to the registration and use terms:

9.1.1. The Seller has the right, without explanation and without prior notice, to:

9.1.1.1. refuse registration;

9.1.1.2. block the Buyer’s account;

9.1.1.3. modify account data;

9.1.1.4. permanently delete the Buyer’s account.

9.1.2. The Buyer registers and uses the Website solely for placing orders.

9.1.3. The Buyer agrees to refrain from publishing negative reviews without prior written notice to the Seller; otherwise, the Buyer undertakes to compensate damages, including loss of business reputation and lost profits.

9.1.4. For registration and use of the Website, the Buyer provides the data specified in Section 5.

10. RIGHTS AND OBLIGATIONS OF THE PARTIES

10.1. The Seller undertakes to fulfill obligations from the moment of acceptance of this Offer in accordance with applicable Indian law.

10.2. The Seller may refuse to perform obligations in the event of force majeure.

10.3. The Seller is not liable for inaccurate information provided by the Buyer.

10.4. The Buyer undertakes to:

10.4.1. familiarize themselves with the Offer and Website conditions;

10.4.2. provide accurate personal data;

10.4.3. compensate losses caused by disclosure of account or order data;

10.4.4. pay for the ordered Goods;

10.4.5. not use the Goods for business purposes;

10.4.6. comply with the Offer and Website conditions.

10.5. The Buyer has the right to use the Website in accordance with this Offer.

11. ORDER PLACEMENT AND PERFORMANCE TERMS

11.1. Orders may be placed via the Website or by phone.

11.2. By placing an Order, the Buyer confirms acceptance of this Offer.

11.3. If Goods are out of stock, the Seller informs the Buyer within up to 10 business days.

11.4. The Buyer may agree to alternative delivery terms or cancel the Order.

11.5. If no response is received, the Seller may cancel the Order.

11.6. The Buyer may not modify the Order after confirmation.

11.7. The Buyer may contact the Seller by phone listed on the Website.

12. DELIVERY OF GOODS

12.1. Delivery is carried out by courier service to the address specified by the Buyer.

12.2. If delivery is impossible, the Seller refunds payment or changes delivery terms with Buyer consent.

12.3. Delivery address and time cannot be changed without Seller consent.

12.4. Delivery time is determined by the Seller.

12.5. Delivery is carried out subject to the minimum order amount set by the Seller.

13. PAYMENT FOR GOODS

13.1. Prices are set unilaterally by the Seller and indicated in Indian rupees.

13.2. Only Goods in stock may be ordered.

13.3. Payment is made in Indian rupees by:

13.3.1. cash upon receipt;

13.3.2. non-cash transfer to the Seller’s bank account.

14. RETURN AND EXCHANGE OF GOODS

14.1. The Seller must deliver Goods corresponding to the Order.

14.2. Upon acceptance, the Buyer checks Goods and may refuse defective or non-compliant Goods.

14.3. Acceptance of Goods confirms absence of claims.

15. ADDITIONAL TERMS

15.1. The Buyer consents to receiving notifications, including promotional ones, via SMS and email.

15.2. Liability is governed by Indian law.

15.3. The Seller is not liable if data:

became public without Seller involvement;

was obtained from third parties;

was disclosed with Buyer consent.

15.4. The Seller may amend this Offer unilaterally.

15.5. The Buyer is liable for actions of third parties if credentials are disclosed.

15.6. Force majeure releases parties from liability.

15.7. The Seller is not liable for improper use of Goods.

15.8. The Seller is not liable for losses due to incorrect Order data.

15.9. The Buyer bears full responsibility for accuracy of data.

15.10. The Buyer guarantees proper use of the Website.

15.11. Disputes shall be resolved through negotiations.

15.12. If no agreement is reached, disputes shall be resolved in court.
